Pre-launch Seller Agreement

This agreement is between you and MGC Property Holdings LLC, doing business as GrailBin ("GrailBin," "we," "us"). It covers selling on GrailBin before it opens to buyers. You accept it by ticking the box when you become a seller.

1. Before launch, nothing sells. GrailBin is open only to people we've invited while we prepare to launch. You can create and publish listings now, but nobody can buy them. Your published listings are visible only to GrailBin's team and to people we've invited to the pre-launch site. You pay no fees, and we take no payments, until launch.

2. Who can sell. You're at least 18, you live in the United States, and you use the account we invited. If you sell for a business, you're authorized to accept this agreement for it.

3. What you list. Every item you list is yours, in your hands, and not stolen, counterfeit, unofficial or otherwise prohibited. You describe it honestly, including its grades and faults, as well as you can.

4. Your photos. You or your staff took every photo, of the exact copy you're selling, and you have the right to give us the license below. No stock photos, and no photos of another copy or taken from anywhere else.

5. The license you give us. You keep ownership of your photos and listing text. You give GrailBin a non-exclusive, royalty-free, worldwide license to host, copy, show and share them to run and promote GrailBin. That includes letting the providers that host our site, deliver photos, and run our photo checks and translations do that work for us.

• From the moment a listing is published, we may use its photos as the catalog image for that release.
• We only crop, straighten, resize, correct color and remove hidden file data such as location. We never add anything to a photo or take anything out of the picture.
• We may machine-translate your listing text for readers in other languages. Translations are labelled, and your own words are what count.
• We don't use your photos to train AI models.

6. Photo checks. We check a draft's photos automatically before it goes live. The check makes suggestions you can ignore, with one exception: a draft whose photos don't show the item, or show a different one, waits until you retake the photo or our team agrees it's right. How listings are checked has the details.

7. The founding seller offer. If we've accepted you as one of our founding sellers, you get:

• no seller fee for your first 3 months of selling on orders of $15 or more before shipping, counted from the day GrailBin opens to buyers. Smaller orders, lots and crates pay the standard fee
• a permanent Founding Seller badge on your profile
• a starter pack of LP mailers
• help listing your first 50 records, in person or by video call
• a direct line to the founder, and a say in what gets built

Your 3 months of founding fee terms are locked in once you accept this agreement as a founding seller. Standard fees and other policies may still change before launch, and the full Seller Agreement will set them. After launch, we'll email you at least 30 days before any change to seller fees.

8. Leaving. You can delete a draft or pause a published listing yourself at any time. To delete a published listing or your account, email trust@grailbin.com, and we'll do it within 7 days. Once a listing or account is deleted before launch, we stop showing its photos, including as a catalog image. Copies in our backups are gone once those backups expire.

9. Launch. At least 14 days before GrailBin opens to buyers, we'll email you our full Seller Agreement and Terms of Service. You'll need to accept them before you can sell. If you don't, your listings stay hidden, and you can delete them.

10. While we're testing. The pre-launch site is a work in progress. Features may change, break or disappear, and we don't promise a launch date. We may pause or remove a listing, or end your pre-launch access, if we believe you've broken this agreement or to protect other users.

11. Ideas you send us. If you share ideas or feedback, we can use them freely, with no obligation to you.

12. Changes. We may update this agreement before launch. We'll email you, and you'll be asked to accept the new version before you keep listing.

13. Liability. As far as the law allows, the pre-launch site is provided as is, and GrailBin isn't liable for lost profits or indirect damages. Our total liability to you under this agreement is limited to $100.

14. Law, language and contact. Florida law governs this agreement. Disputes go to the state or federal courts serving the Florida county where GrailBin has its main office, or to small claims court if the claim qualifies. There's no arbitration.
